1. Introduction

These Terms of Service ("Terms") govern your use of the Replium platform and services ("Service") operated by Replium ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Replium provides automated missed-call recovery via SMS, including auto-text messaging, follow-up reminders, booking forms, and review request features for businesses. The Service relies on third-party telecommunications providers and is provided on an "as is" and "as available" basis.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your business. By using the Service, you represent that you meet these requirements.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised use of your account.

5. Free Trial

We may offer a free trial period. During the trial, you will have access to the Service features as described on our website. We reserve the right to modify, limit, or discontinue the trial at any time without notice.

6. SMS and Messaging

The Service sends SMS messages on your behalf to your customers. You are responsible for ensuring that you have appropriate consent to contact your customers via SMS and that your use of the Service complies with all applicable laws, including but not limited to UK GDPR, the Privacy and Electronic Communications Regulations (PECR), and any other relevant telecommunications regulations.

Recipients may opt out at any time by replying STOP. You agree not to use the Service to send spam, unsolicited messages, or any content that violates applicable law.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Replium and its directors, employees, partners, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of revenue, profits, business, or anticipated savings
  • Loss of customers, contracts, or business opportunities
  • Loss of or damage to data
  • Loss of goodwill or reputation
  • Any losses arising from missed calls, failed SMS delivery, service downtime, or technical failures
  • Any losses arising from the inability to use the Service

This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damage.

8. No Guarantee of Service Availability

We do not guarantee that the Service will be uninterrupted, error-free, or available at all times. The Service depends on third-party telecommunications providers, internet connectivity, and other factors outside our control. We are not responsible for any losses that result from service interruptions, delays in SMS delivery, or system outages.

You acknowledge and agree that Replium is not a substitute for answering your phone or employing staff to handle incoming calls. Replium is an automated supplement to your existing call-handling processes.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or expectations, or that SMS messages will be delivered successfully in all cases.

10. Indemnification

You agree to indemnify, defend, and hold harmless Replium and its directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.

11. Data and Privacy

We collect and process personal data in accordance with applicable data protection laws. By using the Service, you consent to the collection and processing of data as described in our Privacy Policy. You are responsible for ensuring that any customer data you provide to us has been collected lawfully and that you have appropriate consent for its use.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including limitation of liability and indemnification.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website with a revised "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
